Medibank Proposal
In mid July 2008, you may have seen in media reports that ahm announced a Proposal to demutualise and merge with Medibank Private.
Under the Proposal, Medibank has offered ahm $367 million in cash as consideration for the merger, which will be paid for ahm and distributed to eligible ahm Members in accordance with Allocation Rules. This means that if you are an eligible ahm Member and the Proposal is implemented, you will receive a cash entitlement determined by your type, scale and length of policy.
The ahm Directors have carefully considered the Proposal and have decided to unanimously recommend it to all ahm Members because they believe it is in Member’s best interests, in the absence of a Superior Proposal and an independent expert concluding that this is the case.
The Proposal cannot proceed without ahm member approval, so it is important that you exercise your right to vote if you are eligible to do so.
If the Proposal is implemented, all eligible Members will receive a cash Entitlement. It is also Medibank’s current intention that both your existing policy and benefits will continue and your access to ahm’s Dental and Eyecare Practices, as well as access to Total Health will be maintained. In addition, Medibank’s current intention is to retain the ahm brand as a separate brand to Medibank.
In mid-October, all eligible ahm Members will receive a document called an Information Memorandum that will contain information on the cash entitlement you will receive if the Proposal is implemented, voting forms, the reasons for the Board’s support and some of the reasons to vote for and against the Resolutions to implement the Proposal.
